Work for Hire Agreement

Whereas the undersigned (the "Writer") has created material (the "Work" which term as used herein shall only refer to that which is created by the Writer) commissioned by Pipsqueak Productions (the "Webmaster"), and Whereas, the Work has been specially commissioned for use as a contribution to a collective work, and Whereas, the parties hereto expressly agree that the Work shall be considered a work made for hire within the meaning of that term under section 101 of the Copyright Act, and Whereas, the Writer understands that the Webmaster exclusively owns the copyright in the Work and all rights incident to such ownership, (including all electronic and derivative rights) in all mediums of expression now existing or devised in the future, and may utilize those exclusive rights both in the United States and throughout the world and Universe. Now, therefore, in consideration of good and adequate consideration, including the possibility of having the Work published at Webmaster's web site, Writer hereby agrees that the Work is a work for hire as set forth in the recitals above. Writer authorizes Webmaster, in its sole discretion, to make any editorial changes, additions, deletions, abridgment and condensation whatsoever in the text of the Work, and is further authorized to title, sub-title and change the title and the chapters of the Work, and to couple the Work with any ancillary work (including, but not limited to, other writing, images, sounds, video, and animations) such authorization shall extend to all subsequent uses of the rights owned by the Webmaster pursuant to this Agreement. Webmaster reserves the right to omit any part or all of the Work submitted by Writer. Webmaster grants back to Writer a non-exclusive but perpetual license to reprint the Work and to create derivative works based on the Work. Writer warrants and represents that the Work is original and has not before been published; that he or she is the sole Writer of the Work and has full power, free of any prior contract, lien or rights of any nature in anyone which might interfere therewith, to enter into this Agreement and to grant the rights hereby conveyed to Webmaster; that the Work contains no matter which is libelous or otherwise unlawful, infringes no right of privacy, proprietary right or copyright (whether statutory or common law); that he or she has not heretofore and will not hereafter enter into any agreement or understanding with any person, firm or corporation other than Webmaster for the rights in the Work granted hereunder. Writer further agrees that he or she will hold Webmaster, its distributors, employees, licensees, partners, agents, advertisers, and any retailer harmless against any suit, claim, demand, proceeding, prosecution, recovery or penalty and any expense, including attorneys' and Litigation expenses arising out of same, by reason of any claim or violation of any of the foregoing warranties or representations. I hereby certify that I am over 18 years of age, or that if I am not, that my parent or legal guardian has executed this document. I intend that a facsimile of this document shall be treated as the original for all purposes. In Witness Whereof, I the undersigned Writer has caused this Agreement to be executed as of the date indicated below. |
